This End User License Agreement (“Agreement”) is entered into between Freight Partners Group, LLC (“Licensor”) and the end user (“Licensee”) for the use of the software application known as EZShip (“Software”).

1. LICENSE GRANT

Subject to the terms and conditions of this Agreement, Licensor hereby grants Licensee a non-exclusive, non-transferable license to use the Software for its intended purpose.

2. RESTRICTIONS

Licensee shall not:

1. Modify, adapt, translate, or create derivative works based on the Software;
   
   
2. Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software;
   
   
3. Use the Software for any purpose other than its intended use;
   
   
4. Transfer, sublicense, lease, lend, or otherwise distribute the Software to any third party.

3. INTELLECTUAL PROPERTY

Licensor retains all right, title, and interest in and to the Software, including all intellectual property rights. This Agreement does not convey any rights not expressly granted herein.

4. SUPPORT AND UPDATES

Licensor may, at its sole discretion, provide updates, modifications, or support for the Software. Licensee agrees that such updates shall be governed by the terms of this Agreement.

5. DISCLAIMER OF WARRANTY

THE SOFTWARE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND. LICENSOR DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

6. LIMITATION OF LIABILITY

IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE USE OR PERFORMANCE OF THE SOFTWARE, EVEN IF LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

7. TERMINATION

This Agreement is effective until terminated. Licensor may terminate this Agreement at any time if Licensee breaches any of its terms. Upon termination, Licensee shall cease all use of the Software.

8. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the Nevada.
